Terms of Service

These Terms of Service (“Terms”) govern the use of Floral Gray LMS, the learning management platform and apps provided by Floral Gray (“we”, “us”). By accessing the platform or its apps, you agree to these Terms. Where an institution or teacher (“the Client”) has a separate written agreement with us, that agreement takes precedence over these Terms.
The Service
Floral Gray LMS provides custom-branded native and web apps, an isolated backend for each Client, video lecture delivery, messaging and administration tools. Features and supported platforms may vary by deployment according to the Client’s configuration.
Licence
Each deployment is licensed to a single Client for delivering its own courses to its own students. The platform may not be resold, sublicensed or rebranded for use by other businesses.
Accounts
- Student accounts are created by, or on behalf of, the Client.
- Each account is for one person only. Sharing login details is not permitted.
- Clients may apply device limits, location policies and other access controls to student accounts.
- You are responsible for keeping your password confidential.
Acceptable Use
You agree not to:
- share, sell or transfer access to your account;
- copy, record, download outside of the app’s offline feature, or redistribute course content;
- attempt to bypass access controls, device limits or other security measures;
- use the platform to send unlawful, abusive or infringing content.
Clients may suspend or remove accounts that break these rules, and we may do so where needed to protect the platform.
Content
Course content uploaded by a Client remains the property of that Client or its licensors. The Client grants us the rights needed to host, process and deliver that content to its students. Students may use course content only for their own personal study.
Fees
Fees for Clients are agreed in writing, typically per enrolled student on a batch-wise basis, as set out in the Client’s quote or agreement. Students’ course fees are a matter between the student and the Client.

Availability and Changes
We work to keep the platform available and secure, but we do not guarantee uninterrupted service. We may update the platform and these Terms from time to time; material changes will be reflected by updating the date above.
Disclaimer and Limitation of Liability
To the extent permitted by law, the platform is provided “as is”, and we are not liable for indirect or consequential losses arising from its use. Nothing in these Terms limits liability that cannot be limited by law.
Governing Law
These Terms are governed by the laws of [TODO: jurisdiction], unless a Client’s written agreement states otherwise.
